摘要：改革开放以来，国企改革始终是众人关注的焦点。本文所关注的是国企改革走过的历程和最终必然的选择。国企改革最终的选择是公司制改革。在国企公司制改革过程中，涉及两个问题：一个是产权的问题；一个是治理的问题。解决这两个问题的原则是坚持公有制、移植公司制。
After the policy of reform and opening was pursued ,the people usually focus on the reform of the state owned enterprise. The thesis pays close attention to the course and inevitable select of the reform of the state owned enterprise. The final select is the reform of the state owned enterprise for corporate system. In the reform,there are two problems：one is property rights,the other is administration. It is the principle to solve the two problems that we should adhere to the public ownership and transplant the corporate system.
